Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MintAgain website, waitlist platform, and any related services (collectively, the "Service") operated by MintAgain ("we," "us," or "our").

By accessing or using the Service — including submitting your information through our waitlist form — you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

MintAgain is a pre-launch AI-powered local resale marketplace platform. Currently, the Service consists of:

• An informational website describing MintAgain's planned features and mission
• A waitlist registration system for early access to the platform
• Email communications to waitlist members about launch updates and early access

The full marketplace platform — including listing discovery, AI recommendations, and buyer/seller tools — is under development and not yet available. Features, availability, and launch timelines are subject to change without notice.

To use the Service, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• Provide accurate and truthful information when registering for the waitlist
• Not be prohibited from using the Service under applicable law

By using the Service, you represent and warrant that you meet these eligibility requirements.

When you join the MintAgain waitlist, you provide your first name, email address, and city. By submitting this information, you:

• Consent to receive email communications from MintAgain about our launch, features, and early access opportunities
• Acknowledge that joining the waitlist does not guarantee access to the platform or any specific features
• Understand that waitlist position and early access priority are determined at our sole discretion
• Agree that we may use your city information to prioritize launch markets

You may unsubscribe from our emails at any time using the unsubscribe link in any email we send, or by contacting us at [email protected].

You agree not to use the Service to:

• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or harvest data from the Service without our written permission
• Use automated tools to submit multiple waitlist registrations
• Violate any applicable local, state, national, or international law or regulation
• Engage in any activity that could harm MintAgain, our users, or third parties

We reserve the right to remove you from the waitlist and terminate your access to the Service for any violation of these Terms.

The Service and all content, features, and functionality — including but not limited to text, graphics, logos, icons, images, and software — are owned by MintAgain or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any information on the Service is accurate, complete, or current
• The Service will meet your specific requirements
• The full marketplace platform will launch on any particular timeline or with any particular features

Launch timelines, city availability, and feature sets described on the website are aspirational and subject to change. Joining the waitlist does not create any contractual obligation on our part to deliver any specific product or service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINTAGAIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED FIFTY DOLLARS ($50.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless MintAgain and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

The Service may contain links to third-party websites or services (including social media platforms). These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party sites. Your use of third-party sites is at your own risk and subject to their respective terms.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms.

You may request removal from our waitlist at any time by contacting us at [email protected]. Upon removal, we will delete your personal information in accordance with our Privacy Policy.

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Portland, Oregon, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

We may update these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify waitlist members by email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
